Bu Web Sitesi’ne erişerek veya Yeşilera Elektronik Ticaret ve Bilişim Hizmetleri (“Yeşilera”) tarafından sunulan Canlı Destek, Yapay Zeka Müşteri Temsilcisi, Bulut Altyapı ve Web Sitesi oluşturma servislerini (topluca “Hizmetler”) kullanarak; siz ve temsil etmeye yetkili olduğunuz tüzel kişilik (“Siz” veya “Kullanıcı”), işbu sözleşmenin tüm maddelerine bağlı kalacağınızı kabul ve taahhüt etmiş sayılırsınız. Şartların tamamını kabul etmiyorsanız, Hizmetleri kullanmayınız.
3.1. Yetkinlik: Hizmetler, yalnızca yasal açıdan bağlayıcı sözleşme yapabilen reşit kişiler ve tüzel kişiler tarafından kullanılabilir.
3.2. Hesap Sorumluluğu: Kullanıcı, kendisine verilen giriş bilgilerinin (kullanıcı adı, şifre, API anahtarları) gizliliğinden bizzat sorumludur. Hesabınız üzerinden gerçekleşen tüm aktiviteler, yetkiniz dahilinde olsun ya da olmasın, sizin sorumluluğunuzdadır.
Yeşilera, Hizmetlerin herhangi bir kısmını, özelliğini veya fiyatlandırmasını önceden bildirimde bulunmaksızın değiştirme, güncelleme veya durdurma hakkını saklı tutar. Süreklilik arz eden abonelik hizmetlerinde, maddi değişiklikler makul bir süre önceden Kullanıcı’ya bildirilir.
5.1. Sınırlı Lisans: Yeşilera, Kullanıcı’ya Hizmetlere erişmesi ve bunları bu Sözleşme’ye uygun kullanması için kişisel, devredilemez, başkasına alt lisans verilemez ve geri alınabilir sınırlı bir lisans vermektedir.
5.2. Mülkiyet: Hizmetler kapsamında sunulan tüm yazılım kodları, yapay zeka algoritmaları ve tasarımlar münhasıran Yeşilera’ya aittir. Kullanıcı; yazılımı kopyalayamaz, tersine mühendislik (reverse engineering) yapamaz veya kaynak kodlarına erişmeye çalışamaz.
Hizmetleri kullanırken aşağıdakileri yapmayacağınızı kabul etmektesiniz:
Hizmetler, seçilen abonelik planına göre ücretlendirilir. Ödemeler, belirtilen periyotlarda otomatik olarak tahsil edilir. Geciken ödemeler durumunda Yeşilera, Hizmetleri askıya alma veya sonlandırma hakkına sahiptir. (Detaylar "Mesafeli Hizmet Satış Sözleşmesi"nde belirtilmiştir.)
8.1. Gizlilik Politikası: Hizmetlerin kullanımı sırasında işlenen veriler, Yeşilera Gizlilik Politikası’na tabidir.
8.2. Veri İşleyen Sıfatı: Kullanıcı’nın kendi müşterileriyle olan etkileşimlerinde Yeşilera, teknik altyapı sağlayıcı olarak "Veri İşleyen" (Data Processor) sıfatına sahiptir. Kullanıcı, bu verilerin toplanması için gerekli yasal bildirimleri ve rızaları aldığını garanti eder.
Hizmetler "OLDUĞU GİBİ" ve "KULLANILABİLİR OLDUĞU SÜRECE" sunulmaktadır. Yeşilera; Hizmetlerin kesintisiz, hatasız veya yapay zeka çıktılarının her zaman %100 doğru olacağını garanti etmez. Yasaların izin verdiği ölçüde Yeşilera; kâr kaybı, veri kaybı veya dolaylı zararlardan hiçbir şekilde sorumlu tutulamaz. Toplam sorumluluk, Kullanıcı’nın son 12 ayda ödediği hizmet bedeli ile sınırlıdır.
Kullanıcı; Hizmetleri bu sözleşmeye aykırı kullanmasından, üçüncü tarafların haklarını ihlal etmesinden veya Kullanıcı İçeriği’nden doğabilecek her türlü dava, kayıp ve masrafa karşı Yeşilera’yı tazmin etmeyi ve muaf tutmayı kabul eder.
Yeşilera, Kullanıcı’nın bu sözleşme hükümlerini ihlal etmesi durumunda, hesabı önceden bildirimde bulunmaksızın derhal askıya alma veya feshetme hakkına sahiptir. Kullanıcı, dilediği zaman aboneliğini sonlandırarak sözleşmeyi feshedebilir.
Bu sözleşme Türkiye Cumhuriyeti yasalarına tabidir. Sözleşmeden doğan uyuşmazlıklarda Balıkesir Mahkemeleri ve İcra Daireleri yetkilidir. Küresel kullanımlarda, yasaların zorunlu kıldığı ölçüde yerel tüketici koruma kuralları saklıdır.
Sözleşme maddelerinden birinin geçersiz sayılması, diğer maddelerin geçerliliğini etkilemez. Yeşilera’nın bir hakkını kullanmaması, o haktan vazgeçtiği anlamına gelmez.
