PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS WEBSITE (yesilera.com) AND THE SERVICES OFFERED HEREIN.

1. ACCEPTANCE AND APPROVAL

By accessing this Website or using the Live Support, AI Customer Representative, Cloud Infrastructure, and Website Creation services (collectively referred to as "Services") offered by Yeşilera Web Services / Hakan Burak Budak (“Yeşilera”); you and the legal entity you are authorized to represent (“You” or the “User”), agree and undertake to be bound by all articles of this agreement. If you do not accept these terms in their entirety, do not use the Services.

2. DEFINITIONS

  • Services: AI-powered software, website hosting, management panels, and API services provided by Yeşilera.
  • Content: Text, graphics, code, software, databases, and algorithms located on the Website.
  • User Content: Product inventory, customer chat logs, and images uploaded to the system by the User while using the Services.

3. USER ELIGIBILITY AND ACCOUNT SECURITY

3.1. Eligibility: The Services may only be used by legal entities and adults who are legally capable of entering into binding contracts under applicable laws.

3.2. Account Responsibility: The User is solely responsible for maintaining the confidentiality of their login credentials (username, password, API keys). All activities that occur under your account, whether authorized by you or not, are your sole responsibility.

4. SCOPE OF SERVICES AND AMENDMENTS

Yeşilera reserves the right to modify, update, or discontinue any part, feature, or pricing of the Services without prior notice. For ongoing subscription services, material changes will be notified to the User a reasonable time in advance.

5. LICENSE AND INTELLECTUAL PROPERTY

5.1. Limited License: Yeşilera grants the User a personal, non-transferable, non-sublicensable, revocable, and limited license to access and use the Services strictly in accordance with this Agreement.

5.2. Ownership: All software codes, artificial intelligence algorithms, and designs provided within the scope of the Services belong exclusively to Yeşilera. The User shall not copy, reproduce, attempt to reverse engineer, decompile, or try to access the source codes of the software.

6. USAGE RESTRICTIONS

You agree that you will not engage in the following activities while using the Services:

  • Sharing unlawful, misleading, or criminal content.
  • Uploading viruses, worms, or malicious code that will jeopardize system security.
  • Performing disproportionate load-testing or attacks (DDoS, etc.) that will adversely affect Yeşilera’s system performance.
  • Manipulating the system by abusing or exploiting the artificial intelligence models.

7. PRICING AND PAYMENT

The Services are billed based on the selected subscription plan. Payments are automatically collected at specified recurring intervals. In the event of delayed payments, Yeşilera reserves the right to suspend or terminate the Services. (Details are outlined in the “Distance Services Sales Agreement”.)

8. DATA PRIVACY AND KVKK/GDPR COMPLIANCE

8.1. Privacy Policy: Data processed during the use of the Services is subject to the Yeşilera Privacy Policy.

8.2. Data Processor Capacity: Regarding the interactions of the User with their own end-customers, Yeşilera acts in the capacity of a “Data Processor”. The User guarantees that they have provided the necessary legal notifications and obtained the mandatory consents for the collection of this data.

9. LIMITATION OF LIABILITY

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. Yeşilera does not guarantee that the Services will be uninterrupted, error-free, or that the artificial intelligence outputs will be 100% accurate at all times. To the maximum extent permitted by applicable law, Yeşilera shall not be held liable for any loss of profits, data loss, or indirect damages. The total aggregate liability under this agreement is strictly limited to the amount paid by the User for the services during the 12 months preceding the occurrence of the liability.

10. INDEMNIFICATION

The User agrees to defend, indemnify, and hold harmless Yeşilera against any and all claims, losses, liabilities, and expenses arising out of the User's use of the Services contrary to this agreement, infringement of third-party rights, or any User Content.

11. TERMINATION OF AGREEMENT

Yeşilera reserves the right to immediately suspend or terminate the account without prior notice if the User breaches the provisions of this agreement. The User may terminate the agreement at any time by canceling their subscription configuration.

12. GOVERNING LAW AND JURISDICTION

This agreement shall be governed by and construed in accordance with the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Balıkesir are authorized to resolve any disputes arising from this contract. For global use, local mandatory consumer protection rules are reserved to the extent required by law.

13. MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining portions of this Agreement shall remain in full force and effect. The failure of Yeşilera to enforce any right or provision shall not constitute a waiver of such right or provision.
